1. Introduction

These Terms of Service govern your access to and use of AI GEN Business Solutions L.L.C.’s website, products, services, digital resources, consulting services, AI implementation services, workflow automation services, audits, courses, masterclasses, workshops, subscriptions, retainers, and related business services.

By purchasing from AI GEN Business Solutions L.L.C., submitting payment information, enrolling in a program, signing a proposal, approving a checkout page, or otherwise agreeing to purchase our products or services, you agree to these Terms of Purchase.

If you do not agree to these Terms, do not purchase our products or services.

2. Products and Services Covered

These Terms apply to purchases of AI GEN products and services, including but not limited to:

• AI readiness assessments
• Workflow audits
• Integration audits
• Pre- and post-integration ROI audits
• AI voice agent setup
• AI task agent setup
• Automated workflow design and implementation
• CRM and automation system configuration
• AI intake and operating system builds
• Consulting sessions
• Strategy sessions
• Courses, masterclasses, certifications, and workshops
• Digital downloads, templates, tools, frameworks, and training materials
• Monthly support, optimization, or AI operations retainers

Specific deliverables, timelines, fees, and scope may also be described in a separate proposal, invoice, order form, checkout page, statement of work, or client agreement. If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls for that specific engagement.

3. Payment Terms

All prices are listed in U.S. dollars unless otherwise stated.

Payment is due according to the terms presented at checkout, on the invoice, in the proposal, or in a signed agreement. By submitting payment information, you authorize AI GEN or its third-party payment processors to charge the payment method provided for the purchase amount, including any applicable recurring fees, taxes, processing fees, or installment payments disclosed at the time of purchase.

AI GEN may use secure third-party payment processors such as Stripe, PayPal, or similar platforms. We do not directly store full payment card numbers or financial account credentials.

Failure to make timely payment may result in paused services, delayed deliverables, suspension of access, cancellation of services, or collection activity.

4. Recurring Payments, Subscriptions, and Retainers

Some AI GEN products and services may involve recurring billing, including monthly retainers, subscriptions, support plans, optimization plans, monitoring plans, or membership-based access.

By purchasing a recurring service, you authorize AI GEN or its payment processor to charge your payment method on a recurring basis according to the billing frequency and amount disclosed at purchase or in the applicable agreement.

Recurring services continue until cancelled according to the cancellation terms disclosed at checkout, in the proposal, or in a signed agreement.

Unless otherwise stated in writing, cancellation of a recurring service stops future billing but does not create a refund for prior payments, completed work, setup fees, implementation fees, or the current billing period.

5. Cancellation Policy

Cancellation terms may vary by product or service.

For monthly subscriptions or retainers, cancellation requests must be submitted in writing to:

Unless a different cancellation period is stated in a signed agreement, cancellation requests must be received at least 10 calendar days before the next billing date to avoid the next recurring charge.

If a cancellation request is submitted after that deadline, the next scheduled payment may still process, and cancellation will take effect for the following billing cycle.

AI GEN may cancel or refuse service at its discretion if a client fails to pay, violates these Terms, abuses staff or systems, misuses AI tools, requests unlawful work, or fails to provide required cooperation, access, or materials.

6. Refund Policy

Unless otherwise stated in a written offer, checkout page, proposal, or signed agreement, all purchases are final and non-refundable.

This includes but is not limited to:

• Digital products
• Templates
• Courses
• Masterclasses
• Workshops
• Strategy sessions
• Consulting calls
• Setup fees
• Implementation fees
• Audit fees
• Custom workflow design
• AI agent setup
• CRM configuration
• Subscription fees
• Retainer payments
• Completed or partially completed service work

Because AI GEN provides digital assets, consulting expertise, strategy, configuration work, and implementation services that may begin immediately after purchase, refunds are not guaranteed once payment is submitted or work has begun.

AI GEN may, in its sole discretion, offer a partial refund, credit, transfer, or alternative remedy, but doing so does not create an obligation to provide the same remedy in the future.

7. Installment Payments

If you purchase using an installment payment plan, you are responsible for all scheduled payments unless otherwise stated in a signed written agreement.

Failure to complete installment payments may result in suspension of access, paused services, removal from programs, cancellation of deliverables, or collection of the remaining balance.

Installment plans are not subscriptions. They are payment arrangements for a total purchase price. Cancelling participation in a product, program, or service does not automatically cancel your obligation to complete installment payments.

8. Chargebacks and Payment Disputes

before initiating a chargeback, payment dispute, or payment reversal.

Improper chargebacks may result in immediate suspension of access to products, programs, services, communities, materials, or deliverables.

AI GEN reserves the right to dispute chargebacks and provide evidence of purchase, access, communications, delivery, signed agreements, project activity, service performance, and these Terms.

You may be responsible for chargeback fees, collection costs, administrative costs, and reasonable legal fees where permitted by law.

9. Client Responsibilities

You are responsible for providing accurate information, timely communication, necessary access, approvals, content, credentials, brand assets, technical requirements, and cooperation needed for AI GEN to perform the purchased services.

Client delays may delay project timelines. AI GEN is not responsible for missed deadlines, incomplete deliverables, system limitations, or reduced outcomes caused by client failure to provide required access, information, approvals, or cooperation.

You are responsible for reviewing deliverables, testing workflows, confirming accuracy, approving launches, and ensuring that any AI-generated or automated content aligns with your business, legal, compliance, brand, and operational requirements.

10. Third-Party Platforms and Tools

AI GEN services may involve third-party tools, software, platforms, plugins, APIs, CRMs, automation platforms, payment processors, website builders, analytics platforms, communication tools, hosting providers, or AI platforms.

Examples may include GrowthHub365, GoHighLevel, Stripe, WordPress, Zapier, Make, n8n, Google Workspace, OpenAI tools, Anthropic tools, or other providers.

You understand that third-party platforms are controlled by their respective providers, not AI GEN. AI GEN is not responsible for third-party outages, pricing changes, feature changes, account restrictions, deliverability issues, API limitations, security incidents, data loss, or policy changes.

You are responsible for maintaining your own subscriptions, licenses, accounts, permissions, billing, access credentials, and compliance obligations for third-party tools unless otherwise agreed in writing.

11. AI and Automation Limitations

AI tools, agents, voice systems, chat systems, workflows, automations, and analytics may produce errors, omissions, delays, hallucinations, inaccurate outputs, incomplete responses, failed triggers, misclassifications, or system interruptions.

AI GEN does not guarantee that AI tools, automations, integrations, or workflows will be error-free, uninterrupted, perfectly accurate, legally compliant for every use case, or suitable for every business situation.

You are responsible for human review, monitoring, approval, compliance oversight, customer communications, and business decisions based on outputs from AI systems or automated workflows.

AI GEN may provide recommendations, configurations, prompts, workflows, and implementation support, but final responsibility for business use, customer-facing deployment, legal compliance, and operational decisions remains with you.

12. No Earnings, Revenue, or Business Outcome Guarantee

AI GEN may provide strategy, systems, tools, audits, workflows, AI implementation, training, and business-growth recommendations. However, AI GEN does not guarantee any specific revenue, profit, lead volume, sales result, funding result, cost savings, conversion rate, productivity increase, search ranking, client acquisition result, or business outcome.

Any examples, projections, forecasts, case studies, testimonials, ROI estimates, income examples, or performance references are illustrative only and are not guarantees of future results.

Your results depend on many factors outside AI GEN’s control, including your offer, pricing, market demand, sales process, follow-up, audience, advertising, team execution, budget, compliance, operations, reputation, and business decisions.

13. No Professional Advice

AI GEN may provide business, AI, automation, workflow, marketing, sales, operational, technology, or strategic information.

Unless expressly stated in a signed agreement, AI GEN does not provide legal, tax, accounting, financial, medical, insurance, investment, or regulated professional advice.

You should consult qualified professionals for advice specific to your legal, tax, financial, compliance, or regulated business situation.

14. Intellectual Property

Unless otherwise agreed in writing, AI GEN retains ownership of its pre-existing intellectual property, frameworks, methods, templates, prompts, processes, training materials, strategy models, course content, documentation, and internal systems.

Upon full payment, you may receive a limited, non-exclusive, non-transferable license to use purchased materials, deliverables, templates, workflows, or implementation assets for your internal business use.

You may not copy, resell, redistribute, sublicense, publish, share, reverse engineer, or commercially exploit AI GEN materials, templates, prompts, courses, frameworks, or deliverables without written permission.

Custom client deliverables may be governed by a separate written agreement.

15. Confidentiality

Both parties agree to use reasonable care to protect confidential information exchanged during the purchase, onboarding, consulting, implementation, or service delivery process.

Confidential information may include business information, customer data, workflows, credentials, pricing, strategy, internal documents, prompts, proprietary methods, trade secrets, and non-public operational information.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or required to be disclosed by law.

16. Account Access and Credentials

If services require account access, you are responsible for providing secure and appropriate access. AI GEN may request temporary credentials, user permissions, shared access, or role-based access depending on the service.

Do not send sensitive passwords or credentials through unsecured channels unless specifically instructed to use a secure method.

You are responsible for removing or changing access permissions after services are complete if desired.

17. Delivery Timelines

Delivery timelines are estimates unless expressly stated as binding in a signed written agreement.

Timelines may change due to client delays, third-party platform limitations, technical issues, scope changes, late payments, missing information, additional requests, or unforeseen circumstances.

AI GEN is not liable for delays caused by factors outside its reasonable control.

18. Scope Changes

Any work outside the purchased scope may require additional fees, a revised proposal, a new invoice, or a separate agreement.

AI GEN is not obligated to perform work beyond the agreed scope without written approval and payment arrangement.

19. Access to Digital Products and Courses

Access to digital products, courses, masterclasses, workshops, certifications, templates, or downloadable materials may be delivered through email, website access, third-party platforms, course portals, file links, or other digital delivery methods.

AI GEN may update, modify, replace, or discontinue digital materials at its discretion.

You are responsible for downloading or accessing purchased materials within any stated access period.

20. Testimonials, Reviews, and Case Studies

If you provide a testimonial, review, comment, success story, feedback, or case study, you grant AI GEN permission to use it for marketing, advertising, training, sales, or promotional purposes, unless you request otherwise in writing.

AI GEN will not knowingly publish false testimonials or materially misrepresent your experience.

Any results shared in testimonials or case studies are individual outcomes and do not guarantee similar results for others.

21. Limitation of Liability

To the fullest extent permitted by law, AI GEN Business Solutions L.L.C. is not liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages arising from your purchase, use of services, reliance on AI systems, third-party platform issues, business decisions, or inability to use purchased products or services.

To the fullest extent permitted by law, AI GEN’s total liability for any claim related to a purchase is limited to the amount you paid to AI GEN for the product or service giving rise to the claim during the three months before the event giving rise to the claim.

22. Indemnification

You agree to indemnify and hold harmless AI GEN Business Solutions L.L.C., its owners, officers, contractors, affiliates, agents, and representatives from claims, losses, damages, liabilities, costs, and expenses arising from your breach of these Terms, misuse of services, unlawful conduct, violation of third-party rights, failure to comply with applicable laws, or use of AI-generated or automated outputs in your business.

23. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any disputes arising from these Terms or purchases from AI GEN shall be handled in the appropriate courts located in Wyoming, unless otherwise required by applicable law or agreed in writing.

24. Changes to These Terms

AI GEN may update these Terms of Purchase at any time. The updated version will be posted on our website with a revised “Last Updated” date.

Your continued purchase, use, or access of AI GEN products or services after updates means you accept the revised Terms.
